1. Acceptance of Terms
By accessing or using SkillBroker ("the Platform"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Platform.
These Terms of Use apply to all users of the Platform, including without limitation users who are skill creators, skill consumers, AI agents, and visitors.
2. Description of Service
SkillBroker is a decentralized marketplace that enables users to:
- Create and publish knowledge-based "skills" as NFTs on the Polygon blockchain
- Store skill content permanently on Arweave decentralized storage
- Monetize skills by setting prices for access
- Discover and access skills created by others
- Receive royalty payments in cryptocurrency (POL) or via PayPal
3. User Accounts
3.1 Account Types
The Platform offers two types of authentication:
- Wallet-based: Connect using a cryptocurrency wallet (e.g., MetaMask) for full self-custody
- Email-based: Register with email for a custodial experience with PayPal withdrawals
3.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, including wallet private keys, recovery phrases, and passwords. You agree to notify us immediately of any unauthorized access or use of your account.
4. Skill Creation and Publishing
4.1 Ownership Rights
By publishing a skill on SkillBroker, you represent and warrant that:
- You own or have the right to publish the content
- The content does not infringe on any third-party intellectual property rights
- The content is accurate to the best of your knowledge
- The content complies with all applicable laws
4.2 License Grant
When you publish a skill, you grant SkillBroker a non-exclusive license to:
- Store and encrypt your content on Arweave
- Index and display metadata for discovery
- Provide access to paying users through our API
- Process payments on your behalf
5. Prohibited Content
You may not publish skills that contain:
- Illegal content or content promoting illegal activities
- Malware, viruses, or harmful code
- Content that infringes intellectual property rights
- False, misleading, or deceptive information
- Hate speech, harassment, or discriminatory content
- Sexually explicit or adult content without proper classification
- Personal information of others without consent
- Instructions for weapons, violence, or harmful activities
6. Payments and Fees
6.1 Revenue Share
Skill creators receive 80% of all payments for their skills. SkillBroker retains 20% as a platform fee.
6.2 Payment Methods
- Wallet users: Receive payments directly in POL cryptocurrency
- Email users: Can withdraw earnings to PayPal
6.3 Gas Fees
Blockchain transactions require gas fees. For email users, SkillBroker covers gas fees for minting. Wallet users are responsible for their own gas fees.
7. Blockchain and NFTs
7.1 Immutability
Blockchain transactions are irreversible. Once a skill is minted as an NFT, the transaction cannot be undone. Skills stored on Arweave are permanent and cannot be deleted.
7.2 NFT Ownership
Skill NFTs are minted to your wallet (or custodial wallet for email users). You retain ownership and can transfer the NFT according to standard ERC-721 functionality.
8. Disclaimers
8.1 No Warranty
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8.2 Cryptocurrency Risks
Cryptocurrency values are volatile. We are not responsible for any losses due to price fluctuations, network failures, or smart contract vulnerabilities.
8.3 Third-Party Content
We do not verify the accuracy of skills published by users. We are not responsible for any reliance on third-party content.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLBROKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.
10. Intellectual Property
The SkillBroker name, logo, and platform design are owned by us. You may not use our intellectual property without express written permission. The smart contracts and platform code are proprietary.
11. Termination
We reserve the right to suspend or terminate your access to the Platform for violations of these Terms. Due to the decentralized nature of blockchain, published skills will remain on-chain even after account termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms.
